In close cooperation with the public notary and your other advisors, we deliver full assistance in the incorporation and support of companies in the Netherlands (NV, BV, CV, STAK). Depending on client’s needs we can also perform liquidation procedures of Dutch companies.

Shelf companies
If it is necessary to set up your structure urgently, we can offer you a variety of shelf companies as an alternative to incorporation. NOVA ensures that all required documents are available, registrations are up to date and offers a balance guarantee in order to substantiate the dormant status of bank account(s).

Management
In order to meet your requirements, NOVA helps you to manage your outsourced business not only through your own managing directors, but also by nominating managing directors with specific sector experience.

Domiciliation
Depending on how you would like to structure your business, we can offer your entity a registered address at our office as well as physical office space including telephone, computer and secretarial services. Furthermore, you may have access to meeting room facilities as well as separate phone and fax lines. In addition to these standard services, we can also create ad hoc solutions, either temporarily or for a longer period with maximum flexibility.

Independent of what solution works for you, we are committed to maintain your books and records, and arrange for all relevant registrations with the Dutch Chamber of Commerce, the Dutch Central Bank and the Dutch tax authorities in accordance with applicable laws and regulations.

Administrative services
We have significant financial experience to accommodate your business with the level of support you require. Our services include day to day bookkeeping, periodical reporting in line with your models and requirements, payment services and bank reporting. Furthermore, we prepare the (consolidated) statutory accounts for your entity in accordance with the accounting policies pursuant to Dutch law and your requirements.

In the case of a statutory audit of the entity, we have all the resources and experience to accommodate the audit procedure of the Dutch entity.

Legal compliance services
Depending on the activities of your entity, we can assist you with a number of legal services:

• Prepare and organise shareholders meetings, (supervisory) board meetings and preparation of the minutes thereof;
• Open a bank account of your choice in the Netherlands;
• In cooperation with your legal advisors, prepare and review agreements, resolutions, powers of attorney and any other documentation if required;
• Ensure all required registrations with the Dutch Chamber of Commerce are up to date and secure timely filing of (consolidated) financial statements.

Tax compliance services
Our services include preparation and filing of all relevant tax returns and exclude legal, tax or assets protection advice. In order to avoid conflicts of interest and acknowledging the expertise, our services are complimentary to your tax planning. For this reason, the level of our involvement is determined by you and your advisers.

Family office services
We offer integrated services to high net worth families and individuals. You may use us for outsourcing your corporate and fiduciary services. If your assets include a family office or service provider offering such services, NOVA could offer you an integrated package of services.
